Sponsorship. Participation in a C-Circle peer advisory Peer Group requires sponsorship. Sponsor organizations nominate prospective and current clients for membership and encourages recommendations from existing members to help grow their groups.
Membership Commitments. Upon acceptance as a member, you agree to:
a. Undertake best efforts to participate in scheduled C-Circle Peer Group meetings;
b. Share experiences, challenges, skills and knowledge with fellow members;
c. Maintain strict confidentiality of all C-Circle Peer Group discussions;
d. Immediately disclose any potential conflict of interest issues to Your C-Circle Peer Group; and
C-Circle Facilitators. C-Circle Facilitators are independent contractors and may offer services outside of the work they do through C-Circle. By entering into this Agreement, You understand and agree that C-Circle is not responsible for any loss or damage arising out of services for which payment is not made directly to C-Circle.
C-Circle Material. As a member, You will be given exposure to and other access to utilize C-Circle’ methodologies and materials along with other confidential information and intellectual property (”Materials”). You understand and agree that C-Circle owns all rights, title and interest, including all intellectual property rights for these Materials.
Payment of Membership Fees. Following acceptance as a member, You will be charged for Your fist installment of membership dues and any applicable enrollment fee. If You select to pay by credit card or EFT, upon acceptance of your membership, dues will be automatically charged to your selected method of payment with a third party 2.9% credit card processing fee. If you select to pay by check as your payment method, you must include a check with the application. The check will only be deposited upon acceptance of our membership. Applications will not be considered unless check or other payment method is provided. You will thereafter be responsible for the payment of membership dues in advance of the period for which dues are payable based on Your elected recurring method of payment below until your membership is terminated. Should the dues amount change, you will be notified in advance and automatic payments will continue to occur at the new dues amount.
Cancelation. Memberships are individual, non-transferable, and non-refundable.
Scope of Service. The advice, services and opinions provided as part of the C-Circle experience are intended to expand thinking and inspire further exploration but are not to be considered a substitute for professional financial, legal, psychological, medical or other professional advice. Even where C-Circle Peer Group members or Facilitators may be credentialed as professional advisors, an individual relationship with such advisors has not been created and should not be relied upon as professional advice. The C-Circle experience is provided “as-is” with no warranty of any kind. There is no obligation for members to engage in business transactions with C-Circle members, Facilitators or other C-Circle affiliates. Should you elect to engage in such business transactions, you agree that C-Circle bears no responsibility or liability for any losses arising therefrom.
Confidentiality. Roundtable Member shall use reasonable efforts to hold and keep Confidential Information in strict confidence, but in any event, shall use efforts not less those that the Roundtable Member uses to protect and safeguard its own confidential information. Roundtable Member further agrees: (a) to protect and safeguard Confidential Information against unauthorized use, publication, or disclosure; (b) not to, directly or indirectly, in any way, reveal, report, publish, disclose, transfer or otherwise use any Confidential Information in any manner inconsistent with the activities contemplated by the parties in connection with a Roundtable discussion; (c) to engage in any anti-competitive, unlawful or fraudulent practice; and (d) to comply with applicable law as well as the intellectual property rights of the parties and others.
Confidentiality obligations do not apply to any Confidential Information that: (a) is or later becomes generally available to the public without breach of any of Roundtable Member’s obligations pursuant to this Agreement; (b) written evidence shows or is in the possession of the Roundtable Member endowing the Roundtable Member with the full right to disclose the same from the parties; or (c) is proven to be independently created without reference to or use of Confidential Information.
Roundtable Member shall promptly notify the parties in the event that Roundtable Member: (a) is compelled or ordered to disclose the Confidential Information or (b) becomes aware that the Confidential Information has been unintentionally or inadvertently stolen, hacked or otherwise revealed in contravention of the terms or spirit of this Agreement.
Roundtable Member acknowledges that neither Sponsor nor Facilitator make any representation or warranty, whether express or implied, as to the accuracy of any Confidential Information. Provided further, no party shall be liable to any other party for any direct, indirect, incidental, special or consequential damages in any way arising or resulting from any use or reliance upon any Confidential Information. Roundtable Member shall indemnify and hold Sponsor and Facilitator harmless for any and all damages, liabilities, costs (including reasonable attorneys fees) related to or arising out of any claim, theft or infringement of any other party’s and/or any third party’s Confidential Information, intellectual property or propriety rights.
